Terms of Service
The agreement between OASIS Technologies LLC and the organisations that use the iPLEXsports software. Buying a spectator ticket? Those terms are the iPLEXtickets Ticket Terms & Conditions.
These Terms of Service (the “Terms”) are an agreement between OASIS Technologies LLC, a Florida limited liability company doing business as iPLEXsports (“OASIS,” “we,” “us”), and the organisation or person that creates an account, registers a company or uses the iPLEXsports software (“Customer,” “you”). They govern your use of the platform at app.iplexsports.com and every related site, page, app and service we provide, including the free ones.
In plain words. You run the event; we provide the software. Your data stays yours. Much of the software is free, and free parts come with fewer promises than paid ones. You collect your own payments through your own processor, you set your own event policies, and you are responsible to your spectators, teams, families, guests, buyers and officials for your event. We are responsible to you for the software. This summary is not part of the Terms; the sections below are.
1. Accepting these Terms
1.1 You accept these Terms when you create an account, register a company, click to accept them, or use the Platform, whichever comes first. If you do not agree, do not use the Platform.
1.2 If you accept on behalf of a club, league, school, association, business or other organisation, you confirm that you are authorised to bind it, and “Customer” and “you” mean that organisation. The person recorded as the company’s primary contact in the Company Profile is treated as authorised to act for the company on the Platform, including to accept changes to these Terms, add users, connect payment accounts and approve charges.
1.3 You must be at least 18 years old, and able to enter a binding contract, to create a company account or accept these Terms.
1.4 A signed order form, quote or written agreement between you and OASIS that refers to these Terms (an “Order”) forms part of the agreement. If an Order conflicts with these Terms, the Order controls for the subject it covers.
2. Definitions
- Platform: the iPLEXsports software and services, including the Tournament, Team Registration, Schedule, Tickets, Assignor and Officials, Hotels, Online Store, Marketing, Finance Reports, iPLEXtutor and sign-in (“/id/”) modules, the public pages they publish, the scanner and score-entry pages, and any related websites, APIs, documentation, training videos and updates.
- Authorized User: anyone you, or a user you authorised, give access to your company on the Platform, such as staff, directors, volunteers, scorekeepers, gate staff and assignors.
- End User: anyone your events or your use of the Platform reach who is not an Authorized User, including spectators, ticket holders, parents and guardians, athletes, coaches, team representatives, officials you assign, hotel guests, store buyers and marketing contacts.
- Customer Data: the information you, your Authorized Users and your End Users put into the Platform for your company or events, including rosters, schedules, results, orders, contacts, photos and messages.
- Free Services: any part of the Platform we offer at no charge to you, as described in Section 5.
- Paid Services: any part of the Platform for which a fee applies under Section 6 or an Order.
- Third-Party Services: products and services that are not provided by OASIS, such as payment processors, email and text message providers, hotel suppliers, shipping carriers, mapping and AI providers, and any account you connect to the Platform.
3. The Platform
3.1 Access. Subject to these Terms, OASIS grants you a non-exclusive, non-transferable, non-sublicensable right, for the term of this agreement, to access and use the Platform, and to permit your Authorized Users to do so, for your own internal business purposes and to run your events.
3.2 Modules. The Platform is made up of modules. Which modules your company may use, and who on your team may use each one, is set on the Platform. Some modules are standalone and granted to a person rather than a company (for example, Assignor and Hotels); where that is so, the person granted the module is the Customer for that module.
3.3 Changes to the Platform. We improve the Platform continually and may add, change or remove features. If we remove a feature of a Paid Service that you are actively using in a way that materially reduces its functionality, we will give you reasonable notice where practical. Free Services may change as described in Section 5.
3.4 Software provided only as a service. The Platform is provided online. You receive no copy of, or licence to, its source code.
4. Accounts, users and security
4.1 One sign-in. Each person has one iPLEXsports identity, used for every module they are given. Passwords are held by our authentication provider; OASIS does not store them. You must give accurate account information and keep it current.
4.2 Your users. You decide who may access your company and its modules, and you are responsible for your Authorized Users’ actions on the Platform as if they were your own. Remove access promptly when a person leaves your organisation or no longer needs it.
4.3 Credentials. Accounts are personal. Do not share sign-ins, and keep passwords, two-step codes and scanner or scorekeeper codes confidential. Tell us at once at support@iplexsports.com if you believe an account or credential has been compromised.
4.4 Primary contact. Certain actions are reserved to your company’s primary contact, such as changing contacts and billing, adding a card on file, connecting payment processors and inviting users. Keep the primary contact current; we may rely on instructions from that person.
5. Free Services
5.1 What is free. Many parts of the Platform are free to you. Some are free always (for example, an individual official’s account, and the public schedule, bracket and results pages). Some are free while a condition is met (for example, tournament management for events that sell spectator tickets through the Platform, assigning for events whose schedules are run on the Platform, and Hotels for organisers, where our compensation is built into the room rate guests pay). Our pricing pages describe which services are free and on what conditions, and form part of these Terms as they read at the time.
5.2 Same rules as paid. Free Services are licensed, not sold or given away. Everything in these Terms applies to them, including acceptable use, intellectual property, data protection and your responsibilities for your events and End Users.
5.3 We do not fund free services with your data. We do not sell Customer Data or End User information, and we do not use it to advertise to your End Users on behalf of anyone else, whether you use Free Services or Paid Services.
5.4 Reasonable use. Free Services are intended for running real events. We may set reasonable limits on volume (for example, storage, uploads, messages or automated requests) to protect the Platform for everyone. We will tell you before applying a limit that affects an event you are actively running, except where the limit is needed to stop abuse or protect security.
5.5 When a condition stops being met. If a service is free only while a condition is met and that condition stops being met (for example, spectator tickets for an event are sold outside the Platform), the published fee for that service may apply from then on. We will tell you before charging it. We never charge for a Free Service retroactively.
5.6 Changes to Free Services. We may change, limit or stop offering any Free Service, or begin charging for it, on at least 30 days’ notice to your primary contact, by email or in the Platform. A change will not take effect for an event that has already started. You may stop using the service, and export your Customer Data, before the change takes effect. We may act on shorter notice where the law, a security risk or a Third-Party Service requires it.
5.7 No service commitment. Free Services are provided “as is” and “as available,” without any uptime, support or response-time commitment, and Section 26.3 limits our liability for them.
5.8 Third-party costs are not free. A Free Service may rely on accounts you hold with Third-Party Services, such as your payment processor, email or text provider, shipping carrier or hotel supplier. Their fees are charged to you by them, under their terms, and are not covered by a Free Service.
5.9 Inactive free accounts. We may close a company that has used only Free Services and has had no sign-in or event activity for 24 months, after giving its primary contact at least 30 days’ notice and the chance to export its Customer Data.
6. Paid Services, fees and billing
6.1 Fees. You agree to pay the fees for the Paid Services you use, as published on our pricing pages, shown on the Platform before you incur them, or set out in an Order. Current examples are a per-ticket platform fee on spectator tickets and a per-match fee for assigning on a schedule brought from outside the Platform.
6.2 Card on file and invoices. A company may be required to keep a valid payment card on file. You authorise OASIS to charge that card, through our payment processor, for fees invoiced to your company when they fall due. Card details are entered into our processor’s secure card field and stored by that processor; we receive only the card brand, the last four digits and the expiry date. Invoices may also be paid through the payment link we send.
6.3 Fees collected from payments. Where a fee is collected from an amount paid by your End Users (for example, a platform fee built into a ticket price or a room rate), it is deducted or retained when the payment is made, as shown on the Platform.
6.4 Taxes. Fees exclude taxes. You are responsible for any sales, use, value-added or similar taxes on fees, other than taxes on OASIS’s income.
6.5 Late or failed payment. If an invoice is unpaid 15 days after it is due and after we have told you so, we may suspend Paid Services until it is paid. We will not delete Customer Data because of late payment without the notice described in Section 24.
6.6 Disputes. If you believe an invoice is wrong, tell us within 30 days of the invoice date. We will work with you in good faith, and you need not pay the disputed portion while we do.
6.7 Price changes. We may change our fees on at least 30 days’ notice. A change does not affect fees for tickets already sold, matches already assigned or reservations already made, or fees fixed by an Order for its term.
6.8 Refunds of fees. Fees are non-refundable except where these Terms or the law say otherwise, or where we charged them in error.
7. Collecting payments from your End Users
7.1 Your own processor. The Platform lets you collect team registrations, ticket sales, hotel payments and store orders through your own account with a supported payment processor (such as Stripe or Square). When you do, you are the merchant of record: the money is paid into your account, under your agreement with that processor, and the processor’s fees are yours.
7.2 When you have not connected one. If you have not connected a supported processor for a payment the Platform takes on your behalf, that payment may be processed through OASIS’s own processor account. In that case OASIS collects the payment as your limited agent, retains the convenience fee shown on the Platform (currently 6%) and the processing costs, and remits the balance to you as described on the Platform. Connecting your own processor in the Company Profile ends this arrangement for new payments.
7.3 Refunds, chargebacks and disputes. You set and honour your own refund policy and are responsible for refunds, chargebacks, disputes, reversals and their fees for payments made to you. Where a payment was collected through OASIS’s account, we may deduct refunds, chargebacks and their fees from amounts we owe you or invoice them to you.
7.4 The amount is set by the Platform, not the browser. The Platform prices every payment from your settings on our servers and verifies it with the processor before recording it as paid. You are responsible for the prices, fees, discounts and policies you set.
7.5 Not a bank. OASIS is not a bank, money transmitter or escrow agent and does not hold your End Users’ funds except as a limited agent under Section 7.2.
8. Your own third-party accounts
8.1 You may connect accounts you hold with Third-Party Services, for example email (Amazon SES, SendGrid, Mailgun), text messages (Twilio, ClickSend), hotel supply (Hotelbeds, SerpApi) and shipping (EasyPost, Shippo, UPS, FedEx, USPS). You authorise OASIS to store the credentials you enter and to use them only to perform the actions you ask for on the Platform.
8.2 Your use of a Third-Party Service is governed by your agreement with its provider, who charges you directly. You are responsible for complying with its terms, for activity under your keys, and for its availability. OASIS is not responsible for a Third-Party Service or for changes its provider makes.
8.3 Remove or rotate a credential on the Platform if you close the account or suspect it has been exposed.
9. Your events and your End Users
9.1 You are the organiser. OASIS provides software. Unless we agree otherwise in writing, OASIS is not the organiser, promoter, sponsor, venue, league, association or governing body of any event run on the Platform, and does not control your events.
9.2 Your responsibilities. You are solely responsible for your events and for your dealings with your End Users, including: event formats, rules, schedules and results; eligibility, divisions and seeding decisions; ticket prices, ticket types and admission; refund, cancellation, weather and re-entry policies; waivers, releases and assumption-of-risk terms; venue, safety, security and medical arrangements; insurance; permits; and compliance with the rules of any governing body you play under.
9.3 Your terms with End Users. You will make your event policies available to your End Users before they buy or register. Ticket buyers also accept the iPLEXtickets Ticket Terms & Conditions, and you will not make statements to End Users that conflict with them or with the iPLEXtickets Privacy Policy.
9.4 Accuracy. You are responsible for the accuracy of what you publish through the Platform, including schedules, scores, standings, brackets, prices and event details. The Platform calculates standings and brackets from the results entered; a wrong result entered produces a wrong standing.
9.5 Support for End Users. You are the first point of contact for your End Users about your events, refunds and policies. We may refer End Users who contact us to you.
10. Youth sports and minors
10.1 Many events run on the Platform involve athletes and spectators who are minors. The Platform is not directed to children, and children under 13 may not create an account. Information about a minor (for example, a roster entry, ticket-holder name or photo) should be entered by a parent or guardian, or by you or another adult who is authorised to do so.
10.2 You are responsible for obtaining any notice, consent or authorisation the law requires to collect and use information about the minors in your events and to publish it, including verifiable parental consent under the U.S. Children’s Online Privacy Protection Act where it applies, and for honouring a parent’s or guardian’s request to correct or remove it.
10.3 You are responsible for your own safeguarding obligations, including background screening, abuse-prevention training and reporting that apply to your organisation or governing body. The Platform can record that a check was done; OASIS does not perform background checks and does not verify those records.
11. Ticket photos, photo verification and Real Face ID
11.1 You may choose to require or allow a photo of each ticket holder, so that gate staff can see that the person presenting a ticket is the person it was issued to. Whether to switch this on, and how it is used at your gate, is your decision.
11.2 When a photo is uploaded, the Platform may send it to an automated image-analysis service (currently Amazon Rekognition) to estimate an age range, so that you can review passes where, for example, a child’s pass may be used by an adult. The estimate is approximate. It is shown to a person for review and must not be the sole basis for refusing entry. Comparing a ticket photo with the person at the gate is done by a person, not by facial recognition. Photos are never used for facial recognition except through Real Face ID (Section 11.4), and never to identify people across events or Customers.
11.3 Some laws regulate the collection of facial images or of information derived from them (for example, the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act and the Washington biometric privacy law). Before you switch on photo requirements or Real Face ID, you are responsible for deciding whether those laws apply to your event and for giving any notice and obtaining any written consent and release they require from each ticket holder, or from the parent or guardian of a minor. OASIS handles ticket photos, age estimates and face templates as described in our Privacy Statement.
11.4 Real Face ID is an optional facial-recognition feature, off unless you switch it on for an event. When it is on, a face template is made from each consenting ticket holder’s photo for that event only, and the separate Real Face ID app can compare a face captured by camera, from a still photo or from a frame of video with the templates for that one event to find the matching ticket. The app is available only to the people you authorise as head of the event or head of security. It is not part of ticket scanning or ticket validation: gate scanners, and the staff who use them, do not have it.
11.5 When you switch Real Face ID on, you decide the purposes it is used for (such as ticket lookup and event safety and security), you are responsible for making sure each ticket holder has received the notice and given the written consent described in Section 11.3 before a template is made, and you are responsible for every decision made about a person. A match is an aid to a person’s judgment: no one may be refused entry, removed or reported on the strength of a match alone. For a youth event, you must not enrol a minor without the verifiable consent of a parent or legal guardian.
11.6 Face templates are held separately for each event and are never used across events or Customers. They are never sold, leased or traded, or used for marketing, profiling or training any model. OASIS destroys them as our Privacy Statement describes.
12. Email and text messages
12.1 You are the sender. When you send campaigns, automations, notices or other messages through the Platform (including the Marketing module), you are the sender and are responsible for their content and for complying with the law that applies to them, including the CAN-SPAM Act, the Telephone Consumer Protection Act, state telemarketing and texting laws, carrier and 10DLC registration requirements, and the rules of your email and text providers.
12.2 Consent. You will send promotional messages only to people who have given the consent the law requires, keep a record of that consent, honour opt-outs promptly, observe quiet hours, and include your identity and a working opt-out in every promotional message. You will not upload purchased, rented or scraped lists.
12.3 Our messages. The Platform also sends transactional messages on your behalf, such as confirmations, tickets, receipts, schedule changes, assignments and invitations. You authorise us to send them to the people your use of the Platform involves.
12.4 Protecting delivery. We may pause sending from a company whose messages produce excessive complaints, bounces or opt-outs, or that appear to break this Section, and will tell you why.
13. Assigning, officials and payroll
13.1 Officials and assignors who use the Platform are not employees, contractors or agents of OASIS. The relationship between an assignor or organiser and the officials they assign, including whether an official is an employee or an independent contractor, is theirs alone.
13.2 Pay rates, expenses, pay runs, tax forms and reports produced by the Platform are tools for you. You are responsible for paying your officials, for the accuracy of the amounts, and for withholding, tax reporting (such as Form 1099) and employment-law obligations. Bank and tax details officials enter are used only to support the pay runs you approve.
13.3 Certification, background-check and eligibility records are entered by you or your officials. OASIS does not verify them.
13.4 An individual official’s account is free. An official accepts these Terms for their own use of the Platform, but is not responsible for a Customer’s obligations under them.
14. Hotels
14.1 Room-block contracts, attrition, cut-off dates and rebates are agreements between you and the hotel. OASIS is not a party to them, is not a hotel or a travel agent of record, and is not responsible for a hotel’s performance or for attrition charges.
14.2 Reservations made through a hotel supplier connected to the Platform are subject to that supplier’s and the hotel’s terms, rates, cancellation policies and taxes, which are shown to the guest when they book. OASIS’s compensation may be included in the room rate shown.
14.3 Pickup counts and reports are calculated from the reservations the Platform knows about. Reservations made directly with a hotel may not appear until the hotel or supplier reports them.
15. The Online Store
15.1 You are the seller of everything sold through your store. You are responsible for your products and their descriptions, prices, stock, sizing, fulfilment, shipping, pickup, returns and exchanges, product safety and labelling, consumer-protection law, and collecting and remitting sales tax.
15.2 You will not sell anything that is illegal, counterfeit, infringes another’s rights, or is prohibited by your payment processor. Shipping labels bought through a connected carrier account are charged to that account.
16. AI features
16.1 Some features, such as iPLEXtutor’s Ask AI, use a third-party artificial-intelligence model to answer questions and draft text. What you type into those features, and relevant help content, is sent to that provider to produce the answer.
16.2 AI output can be wrong or incomplete. Check it before you rely on it, and do not use it as legal, tax, medical or financial advice. Do not enter payment card numbers, passwords, tax identification numbers or other sensitive personal information into AI features.
17. Customer Data
17.1 Yours. As between you and OASIS, you own Customer Data. You grant OASIS a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data as needed to provide, secure and support the Platform for you, to follow your instructions, and as these Terms describe.
17.2 Our role. For personal information in Customer Data about your End Users, OASIS processes it on your behalf as your service provider, and does not sell it, share it for cross-context behavioural advertising, or use it for purposes outside our relationship with you except as the law permits. How we handle personal information is described in our Privacy Statement.
17.3 Your rights to the data. You confirm that you have the rights, notices and consents needed to put Customer Data into the Platform and to have us process and, where you choose, publish it.
17.4 Aggregate information. OASIS may create and use de-identified or aggregated information derived from use of the Platform (for example, how many tournaments use a format) to operate and improve the Platform, provided it does not identify you, your End Users or any individual.
17.5 Export and deletion. You may export Customer Data the Platform makes exportable at any time while your account is active. After this agreement ends, we will make Customer Data available for export for 30 days on request, and then delete or de-identify it within a reasonable time, except where we must keep it by law, to resolve a dispute, or in routine backups until they expire. Records of payments, tickets, scans and invoices may be kept for as long as tax, accounting and payment-network rules require.
17.6 Shared records. Some records are shared by more than one party by their nature, such as a team’s registration for your tournament, an official’s acceptance of your assignment or a guest’s reservation. Deleting your company does not delete another party’s own account or copy of a shared record.
18. Public pages
The Platform publishes some information openly by design, such as schedules, pools, brackets, standings and results, team names, event details and ticket, store and booking pages. You choose what to publish and are responsible for having the right to publish it. Public pages can be seen, copied and indexed by anyone, and removing information from the Platform does not remove copies others have already made.
19. Acceptable use
You will not, and will not let anyone else:
- break the law, or infringe or violate anyone’s intellectual property, privacy or other rights, through the Platform;
- upload malware, or probe, scan, test or bypass the Platform’s security or access controls, except under a written security-testing agreement with OASIS;
- access another company’s data, or use the Platform beyond the access you have been given;
- scrape, crawl or make automated requests to the Platform except through interfaces we provide for that purpose;
- copy, modify, reverse engineer, decompile or create derivative works of the Platform, except to the extent the law expressly permits;
- resell, sublicense, rent or provide the Platform to third parties as a service bureau, or use it to build a competing product;
- sell counterfeit or fraudulent tickets, or use the Platform for scalping or for ticket sales you are not authorised to make;
- harass, threaten or discriminate unlawfully against anyone, or publish content that is unlawful, defamatory or obscene; or
- interfere with or overload the Platform or other customers’ use of it.
20. Our software and your brand
20.1 OASIS and its licensors own the Platform, including its software, designs, documentation, training material, and the iPLEXsports, iPLEXtickets and iPLEXtutor names and logos. These Terms grant you no rights in them except the right of use in Section 3.
20.2 You grant OASIS a limited licence to display your name, logos and event artwork on the Platform, on your public pages and in messages sent for you. We will not otherwise use your name or logo publicly, for example in our marketing, without your permission.
20.3 If you send us suggestions or feedback, we may use them without restriction or obligation to you.
21. Availability and support
21.1 We work to keep the Platform available and to fix problems promptly, especially during live events, but we do not promise it will be uninterrupted or error-free. Maintenance may make it temporarily unavailable; we try to schedule planned maintenance away from peak event times.
21.2 The Platform depends on the internet, your devices and connectivity at the venue, and Third-Party Services. Keep a fallback for event-critical tasks (for example, printed score sheets and a manual entry procedure at the gate).
21.3 Support is available through the Platform’s help tools and at support@iplexsports.com. Any uptime or response-time commitment applies only if it is set out in an Order.
22. Confidentiality
Each party will use the other’s non-public information that is marked confidential, or that a reasonable person would understand to be confidential, only to perform under this agreement, and will protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else. A party may disclose confidential information when the law requires, after giving the other party notice where lawful.
23. Security
23.1 OASIS maintains reasonable administrative, technical and physical safeguards designed to protect Customer Data, appropriate to its nature. These include encrypted connections, access controls and separation between companies.
23.2 If we become aware of unauthorised access to Customer Data in our systems, we will notify you without undue delay, give you the information we reasonably can to help you meet your own obligations, and take reasonable steps to contain it.
23.3 You are responsible for securing your own devices, accounts, credentials and connected Third-Party Service accounts, and for the access you grant.
24. Term, suspension and termination
24.1 This agreement starts when you accept it and continues until it ends under this Section. Any Order’s term is set in that Order.
24.2 You may stop using the Platform and close your company at any time. Closing does not cancel fees already incurred.
24.3 We may terminate this agreement for convenience on at least 60 days’ notice, or for your material breach that is not cured within 15 days of notice.
24.4 We may suspend access, in whole or in part and without prior notice, where reasonably necessary to prevent harm to the Platform, other customers, End Users or the public, to stop fraud or abuse, or to comply with the law. We will limit any suspension to what is needed, tell you why where lawful, and restore access once the cause is resolved.
24.5 Sections 5.3, 7.3, 9, 10.2, 11.3, 12, 13.2, 17, 20, 22 and 25 to 30, and any accrued payment obligations, survive termination.
25. Disclaimers
25.1 Each party warrants that it has the authority to enter this agreement. OASIS warrants that it will provide Paid Services with reasonable skill and care; if they do not conform, your remedy is for us to correct the problem or, if we cannot within a reasonable time, to refund fees paid for the non-conforming Paid Service for the affected period.
25.2 EXCEPT AS STATED IN SECTION 25.1, THE PLATFORM, INCLUDING ALL FREE SERVICES, AI FEATURES, AGE ESTIMATES, AND THIRD-PARTY SERVICES, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW PERMITS, OASIS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AN EVENT WILL TAKE PLACE OR SUCCEED.
26. Limitation of liability
26.1 TO THE FULLEST EXTENT THE LAW PERMITS, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, TICKET OR REGISTRATION SALES, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
26.2 TO THE FULLEST EXTENT THE LAW PERMITS, OASIS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID TO OASIS FOR THE PAID SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO IT.
26.3 WHERE A CLAIM RELATES TO FREE SERVICES, OASIS’S TOTAL LIABILITY FOR IT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
26.4 OASIS is not liable for the acts or omissions of Third-Party Services, venues, hotels, carriers, payment processors, your Authorized Users or your End Users, or for injury, illness, loss or damage at or connected with any event.
26.5 These limits do not apply to your payment obligations, to your obligations under Section 27, or to liability that cannot be limited by law.
27. Indemnification
27.1 By you. You will defend OASIS and its members, officers, employees and contractors against any third-party claim, and pay the resulting losses, damages, fines, settlements and reasonable legal fees, to the extent it arises from: your events, including injury, loss or damage connected with them; Customer Data, or our use of it as these Terms allow; your products, prices, refund policies and dealings with End Users; messages you send; your failure to obtain a notice or consent required by Sections 10, 11 or 12; or your breach of these Terms or the law.
27.2 By us. OASIS will defend you against any third-party claim that your use of a Paid Service as permitted by these Terms infringes a United States patent, copyright or trademark, or misappropriates a trade secret, and pay the resulting damages finally awarded or settlements we agree to. This does not cover claims arising from Customer Data, Third-Party Services, Free Services, or use of the Platform in combination with anything we did not provide. If a claim is made or likely, we may obtain the right for you to keep using the service, modify it to avoid the claim, or end it and refund prepaid fees for the unused period. This is your only remedy for infringement claims.
27.3 Process. The party seeking defence must promptly notify the other of the claim, let it control the defence and settlement (though it may not settle a claim in a way that admits fault or imposes an obligation on the other without consent), and provide reasonable cooperation at its expense.
28. Governing law and disputes
28.1 These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.
28.2 Before starting any proceeding, a party will give the other written notice of the dispute and the parties will try in good faith to resolve it for 30 days.
28.3 Any proceeding arising out of or relating to these Terms will be brought only in the state or federal courts located in Orange County, Florida, and each party consents to their jurisdiction and venue. Either party may seek urgent injunctive relief in any competent court to protect its intellectual property or confidential information.
28.4 TO THE FULLEST EXTENT THE LAW PERMITS, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL, AND CLAIMS MAY BE BROUGHT ONLY IN A PARTY’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
29. Changes to these Terms
We may update these Terms. We will post the new version here with a new “Last updated” date and, for a material change, notify your primary contact by email or in the Platform at least 30 days before it takes effect. Changes required by law or made for security may take effect sooner. If you do not agree to a change, you may stop using the Platform before it takes effect; continuing to use the Platform after that date means you accept it. An Order’s own terms are changed only in writing signed by both parties.
30. General
30.1 Entire agreement. These Terms, any Order and the documents they refer to are the entire agreement between the parties about the Platform and replace any earlier agreement about it. Terms in your purchase order or other documents do not apply.
30.2 Assignment. Neither party may assign this agreement without the other’s consent, except to a successor in a merger, acquisition or sale of all or substantially all of the assigning party’s relevant business, on notice.
30.3 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including weather, natural disasters, epidemics, war, terrorism, labour disputes, government action, and failures of utilities, the internet, hosting providers or Third-Party Services. This does not excuse payment of fees for services already provided.
30.4 Notices. We send notices to your primary contact’s email address or through the Platform. You send notices to support@iplexsports.com with “Legal Notice” in the subject line. Notices are effective when sent, unless the sender learns that they were not delivered.
30.5 Relationship. The parties are independent contractors. Except as stated in Section 7.2, neither is the agent of the other. There are no third-party beneficiaries of this agreement.
30.6 Export and sanctions. You will not use the Platform in violation of U.S. export-control or sanctions laws.
30.7 Severability and waiver. If a provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest remain in effect. Failing to enforce a provision is not a waiver of it.
30.8 Electronic acceptance. Accepting these Terms electronically has the same effect as signing them.
